THE WATCHMAKER’S WORKSPACE
Membership Agreement, Rules and Regulations
This Agreement forms a legally binding agreement between you, the Member and us, the Provider, The Watchmaker’s Workspace, and governs your access to and use of The Watchmaker’s Workspace, the Watchmakersworkspace.com website, and the Membership Services.
By accessing or using any of the membership services, and by signing this agreement, you agree to be bound, and abide by this agreement and any amendments thereto. Read this agreement carefully before using any of the membership services, especially since this agreement may affect your legal rights.
The Watchmaker’s Workspace is the communal working space we make available for members, located on the first floor at 42 East Savannah Street, Clayton GA, 30525.
Article 1 – MEMBERSHIP SERVICES:
All memberships are open to anyone over 18 years of age, regardless of color, race, gender, sexual orientation, religion, nationality.
The Membership Services will refer to the following services we offer:
- a) Non-Exclusive Access to The Watchmaker’s Workspace, available at the following days and times:
- Classic Members & Pass Holders, Open Daily: 7:00 AM – 8:00 PM
- Premium Members, Open Daily: 6:00 AM – 8:00 PM
- b) Use of basic amenities at The Watchmaker’s Workspace including the following:
shared kitchen space, shared kitchen appliances, restroom facility, patio, workstations, work counter, work bars, printer, office supplies, and use of Internet service, as will be described to you upon your first visit.
- c) The ability to rent the conference room, next door at White Birch Provisions, based on
availability, for additional fees.
All types of memberships are licenses granted to a Member for use of the Watchmaker’s Workspace; and may be terminated or revoked pursuant to the terms of this agreement. This Agreement creates a mere license for use and does not create a Landlord/Tenant relationship.
Article 2 – MEMBERSHIP LEVELS:
We offer the following Membership Levels:
- Classic Yearly Membership: $100/Month
- Premium Yearly Membership: $200/Month
- Classic Seasonal (6 Months) Membership: $175/Month
- Premium Seasonal (6 Months) Membership: $275/Month
- Classic Week (7 consecutive days) Pass: $100/Week
- Classic Month (30 consecutive days) Pass: $200/Month
- Day Pass (Classic Membership benefits): $50/day
Article 3 – CONFERENCE ROOM RENTAL:
The conference room next door at White Birch Provisions, has a rental fee of $25/hour. Premium members receive a 10% discount. Scheduling is available on a first-come, first-served basis. You agree to use the conference room exclusively for legitimate business purposes. The conference table seats 12 people, and non-members are welcome
You acknowledge and agree that you are responsible for your guests, including ensuring that your guests act in a professional manner. If you or your guests act in a way which is not in accordance with this Agreement or any posted rules and regulations, we may terminate this Agreement immediately.
Article 4 – DAMAGES:
If you or any of your guests damage any property at The Watchmaker’s Workspace, you will be held liable, including charges incurred to repair or replace property or items, and possible revocation of membership, upon review.
Article 5-STORAGE:
Lockers are available for the first 12 (twelve) Premium Members. A reservation list will be maintained and if a locker becomes unoccupied the next member on the list will be notified of the availability. You are responsible for maintaining the locked space as well as providing your own lock. Other than the 12 (twelve) available lockers, members are not permitted to store items of personal property at The Watchmaker’s Workspace. We are not liable for any loss of or damage to items left in the lockers or in the building. If there are personal items left at The Watchmaker’s Workspace, we may dispose of them. You waive any claims you may have regarding any personal items.
Article 6 – THIRD-PARTY ACTIONS:
Please be advised that we are not responsible for the actions of other Members or their guests. We assume no responsibility or obligation regarding any disputes which may take place between our Members or guests.
Article 7- NO EXPECTATION OF PRIVACY:
You acknowledge and agree that you may not have any expectation of privacy when you are using the internet and telecommunications systems at The Watchmaker’s Workspace. As a member, you hereby acknowledge and agree that the premises are equipped with security cameras and monitored by business personnel on a 24/7 basis for the purpose of safeguarding the well-being of members, tenants, and property. You further understand and accept that such surveillance may result in your image and actions being recorded while present on the property. Your continued presence on the premises constitutes your consent to such recording and monitoring activities.
Article 8 – AMENDMENTS:
We may, from time to time and at any time without notice to you, modify this Agreement. You agree that we have the right to do so, including revising anything contained herein. All modifications to this Agreement are in full force and effect immediately upon posting on the Website. All modifications or variations will replace any prior version of this Agreement, unless prior versions are specifically referred to or incorporated into the latest modification or variation of this Agreement.
To the extent any part or sub-part of this Agreement is held ineffective or invalid by any court of law, you agree that the prior, effective version of this Agreement shall be considered enforceable and valid to the fullest extent.
You agree to routinely monitor this Agreement on the Website to note modifications or variations. We might also change the scope of the Membership Services. If we do so, and you are unhappy with the new offerings, please feel free to contact us.
Article 9 – AGE RESTRICTIONS:
You must be at least 18 (eighteen) years of age to sign up for a Membership. We assume no responsibility or liability for any misrepresentation of your age. Similarly, all guests must be at least 18 years of age to enter.
When you sign up for a Membership, you may be asked to provide government-issued identification to verify your age.
Article 10-CREDENTIALS:
As part of your Membership Services, you may be required to set up specific access information for The Watchmaker’s Workspace, such as a username and password. You also agree to have your photo taken for your membership card. You are responsible for ensuring the safety and security of your access information. You must not share the access information with any third party, including the door entry code or the WIFI code.
Article 11 – AUTHORIZED USERS:
We are not responsible for any unauthorized access to your account. If you discover that the access information has been compromised, you agree that you will notify us immediately.
Article 12 – FEES:
Per membership or pass you’ve agreed to by signing the final page:
- As a Classic Yearly Member, you will be paying monthly installments fee of $100 (One hundred US dollars), plus handling fee.
- As a Premium Yearly Member, you will be paying monthly installments fee of $200 (Two hundred US dollars), plus handling fee.
- As a Classic Seasonal Member, you will be paying monthly installments fee of $175 (One hundred seventy-five US dollars) for a length of 6 months, plus handling fee.
- As a Premium Seasonal Member, you will be paying monthly installments of $275 (Two hundred seventy-five US dollars) for a length of 6 consecutive months, plus handling fee.
- As a Classic Week Pass holder (7 consecutive days), you will be paying a one-time fee of $100 (One hundred US dollars), plus handling fee.
- As a Classic Month Pass holder (30 consecutive days), you will be paying a one-time fee of $200 (Two hundred US dollars), plus handling fee.
- As a Day Pass holder, you will be paying a one-time fee of $50 (Fifty US dollars), plus handling fee.
Monthly Fees shall be payable in advance on the 1st (first) of each calendar month in advance for that month. After 5 (five) days without receipt of payment your monthly dues will be considered late and your door code and WIFI code will be canceled, and a $35 late fee shall apply to your account. Once your monthly payment and late fee are paid you will be issued your new email passwords, and your door code will be reinstated.
Fees shall be payable on day of issue. Invoices for payment of fees will be sent via Square.
No holidays, special events, or weekends will excuse your obligation to pay timely Fees as described by this Agreement.
After successful receipt of fees payment, your new WIFI password will be issued.
Article 13-ACCEPTABLE USE:
You may be provided an additional list of rules upon your registration. If so, the rules you are provided as well as the rules below apply to your Membership.
You are not to damage the business reputation or physical property of the Provider. You may not act in any way which presents danger or disruption or nuisance to other Members, guests, employees, agents, or animals at The Watchmakers Workspace.
You will not harass, abuse, or threaten others or otherwise violate any person’s legal rights.
You will not violate any intellectual property rights of the Provider or any third party.
You will not use The Watchmaker’s Workspace to run any public-facing business where members of the public are expected to come to you. You will not use The Watchmaker’s Workspace to upload or otherwise disseminate any computer viruses or other software that may damage the property of another.
You will not use The Watchmaker’s Workspace to perpetrate any fraud or commit any illegal act or any act considered to be harassment to a third party.
You will not use The Watchmaker’s Workspace publish or distribute any obscene or defamatory material or any material that incites violence, hate, or discrimination towards any individual or group at The Watchmaker’s Workspace.
You will not unlawfully gather information about others, including recording, photographing or videotaping others without their consent.
You will not bring pets inside The Watchmaker’s Workspace building. All service animals are permitted with legal documentation. Pets are allowed in the patio garden area.
Article 14-INTELLECTUAL PROPERTY:
You agree that all of our copyrights, trademarks, logos, name, signage, trade secrets, patents, and other intellectual property belong solely and exclusively to us, The Watchmaker’s Workspace. You agree that we own all right, title and interest in and to The Watchmaker’s Workspace and that you will not use its intellectual property for any unlawful or infringing purpose. You agree not to reproduce or distribute The Watchmaker’s Workspace Intellectual property in any way, including electronically or via registration of any new trademarks, trade names, service marks or Uniform Resource Locators (URLs), without express written permission from us.
Article 15-TERM:
The term of this Agreement (“term”) shall begin from the Effective Date and run for a period agreed to and signed for on last page.
The Term of Classic and Premium, Yearly and Seasonal Memberships will automatically renew for the same time period, unless terminated by either of the Parties as described in the Article describing Termination.
Article 16-TERMINATION:
At 30 (thirty) days prior to the expiration of the one-year or six-month Term, either Party may terminate the agreement by sending written notice to the other Party. The members may not terminate the one-year agreement prior to their 30-day notice.
This Agreement may also be terminated by a party if:
- a) the other party commits a material breach of any term of this Agreement that is not remedied within fourteen (14) days after notice of such breach; or,
- b) the other party or its employees or agents engage in any conduct prejudicial to the business of the other, or in the event that either party considers that a conflict or potential conflict of interest has arisen between the parties.
If the Agreement is terminated, you agree to pay us all Fees incurred prior to the date of termination, regardless of which party terminated or why. You are only excused from paying Fees if we cease service.
Any termination under this subpart shall not affect the accrued rights or liabilities of either Party under this Agreement or at law and shall be without prejudice to any rights or remedies either Party may be entitled to. Any provision or subpart of this Agreement that is meant to continue after termination or come into force at or after termination shall not be affected by this subpart.
Article 17-INDEMNIFICATION:
You agree to defend and indemnify us and hold us harmless against any and all legal claims and demands, including reasonable attorney’s fees, which may arise from or relate to your use or misuse of The Watchmaker’s Workspace or Membership Services, your breach of this Agreement, or your conduct or actions.
Article 18 – SEVERABILITY:
If any part or subpart of this Agreement is held invalid or unenforceable by a court of law or competent arbitrator, the remaining parts and subparts will be enforced to the maximum extent possible. In such a condition, the remainder of this Agreement shall continue in full force.
Article 19 – GOVERNING LAW:
This Agreement shall be governed by and construed in accordance with the laws of the State of Georgia without giving effect to any choice or conflict of law provision or rule. Each party irrevocably submits to the exclusive jurisdiction and venue of Rabun County, Georgia
Article 20 – ASSIGNMENT:
This Agreement, or the rights granted hereunder, may not be assigned, sold, leased, sub-leased or otherwise transferred in whole or part by you. Should this Agreement, or the rights granted hereunder, by assigned, sold, leased or otherwise transferred by us, our rights and liabilities will bind and inure to any assignees, administrators, successors, and executors.
Article 21 – NO WAIVER:
In the event that we fail to enforce any provision of this Agreement, this shall not constitute a waiver of any future enforcement of that provision or of any other provision. Waiver of any part or sub-part of this Agreement will not constitute a waiver of any other part or sub-part.
Article 22 – NO AGENCY, PARTNERSHIP OR JOINT VENTURE:
No agency, partnership, or joint venture has been created between the Parties as a result of this Agreement. No Party has any authority to bind the other to third parties.
Article 23 – FORCE MAJEURE:
We are not liable for any failure to perform due to causes beyond our reasonable control including, but not limited to, acts of God, acts of civil authorities, acts of military authorities, riots, embargoes, acts of nature and natural disasters, and other acts which may be due to unforeseen circumstances.
Article 24- RULES AND REGULATIONS:
No smoking or use of any tobacco product of any kind is permitted on the property of The Watchmaker’s Workspace. This includes inside the building as well as the back patio

No audible music may be played inside the Watchmaker’s Workspace building
No loud behavior other than appropriate business activities
Memberships are not transferrable, may not be used by anyone else, and any guests must be accompanied by the member at all times
Article 25- ELECTRONIC COMMUNICATIONS PERMITTED:

Rules and Regulations
Welcome to The Watchmaker’s Workspace. We’re excited for you to join our team. Please, review the following rules and regulations. These have been created for your comfort, protection, and success. Let us know if you have any questions or concerns about the membership services or the additional guidelines.
MEMBERSHIP INFORMATION:
- Members may upgrade their plans at any time.
- Memberships are not transferrable and cannot be used by anyone else.
- A member’s partner, spouse, or family member is required to purchase their own membership.
- Your monthly subscription fee is due on the 1st of each month.
- If we don’t receive your payment within 5 days of the due date, your account will be considered late. This will result in a $35 late fee, and your access will be suspended until the balance is paid.
- Once your monthly payment and late fee have been paid, we will issue you a new password and access code so you can continue to use our services.
ENTRY:
- The private access code we assign you for door entry will unlock both the front and back doors.
- The access code is for your use only and we ask that you do not share it with anyone.
- If you feel your code has been compromised at any point contact management so that we can assign you a new one.
- Accessing The Watchmaker’s Workspace is restricted to members and their escorted guests.
- Be sure that the door closes and locks behind you at any time.
- If either door is unlocked and you can’t lock it, please call 706.352.4880 and inform us so that we can fix the issue immediately.
GUESTS:
- All guests must be signed in at the front desk and must be guests of active members.
- Members are permitted to conduct non-member client meetings during office hours.
- Due to our limited seating and our desire to prioritize our member needs we ask that you limit your in-person, non-member client meeting to a maximum of two hours.
- Guests must be accompanied by the member at all times.
- Memberships come with two day passes for one family member per month.
- Do not let guests (other than your own) in to work unless management is aware.
- You are responsible for your guest actions in both financial and legal capacities.
- Be sure to make certain any guests have left before you do.
- We do not assume any responsibility or obligation regarding disputes that may occasionally arise between our members, or their guests and we cannot be held accountable for the actions of others.
RULES:
- We kindly ask that you refrain from obstructing any entranceways or creating any circumstances of disrepair and be mindful of avoiding any damage to the property or premises.
- Service animals specifically trained to assist individuals with disabilities are the only pets allowed inside the premises. Pets are allowed on the patio.
- No children under 18, are allowed within the workspace.
- Make sure to clean up after yourself and return things to where you found them.
- We have a strict no-smoking policy in place for the safety and comfort of all our members. This policy prohibits smoking of any kind, including traditional cigarettes, e-cigarettes, and vaping devices, both inside the building and on the back patio.
- We ask that you and your guests refrain from any loud or disruptive behavior that could disturb your neighbors.
- We ask that our members park in front of The Watchmaker’s Workspace building or in the other free parking spaces throughout the area.
- The private parking lot next to the building is exclusively for The White Birch Inn and White Birch Provisions customer parking.
SEATING:
- Seating is first com first serve.
- The Collaboration Corner (seats 6-8) can be reserved for group meetings for up to two hours and must be reserved 24 hours in advance.
- The Workspace One (seats 4-6) is exclusively for Premium members’ use.
- The Conference Room (seats 10-12) next door at White Birch Provisions, has a rental fee of $25/hour. Premium members receive a 10% discount.
- As tempting as it maybe, do not lean against the windows in the two front window seat, as they are not tempered and extremely fragile.
KITCHEN:
- The Watchmaker’s Workspace has a kitchen area with a refrigerator, microwave, sinks, large dining table, and a water cooler that members can use.
- Label any food items you bring into our shared kitchen.
- Perishable items and leftovers must be removed at the end of each week.
- Be sure to wash your own dishes and clean up any spills you may have created.
- While we don’t have a dedicated coffee maker in our shared kitchen, we have an even better solution – the Joe App.
- Joe App QR code signs are posted throughout the workspace for you to easily place orders with White Birch Provisions. Simply scan the code, place your order, and you can pick it up quickly next door.
PRINTER:
- You will need to set up an account with PrintWithMe.com to use this service. Please refer to the blue PrintWithMe insert for instructions to setting up your account.
- Black and white photocopies are included in your membership fee.
- Color copies will be charged to you via the account you set up with PrintWithMe.
- The printer paper provided is for the printer machine and not for personal use.
PERSONAL BELONGINGS:
- For those who have an assigned locker, you are responsible for providing your own lock and maintaining the locker you are assigned.
- Other than in the assigned lockers, do not store any personal belongings within the building.
- Be sure to take all your belongings with you when you leave each day.
- We cannot be held liable for any loss or damage to items left on the premises.
- Any unclaimed personal property may need to be disposed of.
Wi-Fi PASSWORD:
- The Wi-Fi password we give you is for your personal use and not to be shared with anyone else.
- You will receive a new password each month.
BUSINESS:
- We provide a consistent, wordless background sound within our workspace.
- We do have the workspace thermostat set on a schedule to optimize the effectiveness and efficiency for our members as well as help conserve energy.
- Building lights are on an automatic schedule set to the time the space is most used to conserve energy.
- If the lights aren’t on when you arrive, please, don’t hesitate to turn them on. There’s one light switch to the right of the copy machine, and three more to the right of the kitchen doorway.
- If you’re the last one out, we’d be thankful if you’re able to go ahead and switch the lights off. We’ll still have them set to auto shut off at closing in any case.
- We are unable to provide mail services or accept deliveries on your behalf. Our facility is not set up to handle incoming or outgoing mail, and we wouldn’t want any of your important packages or letters to get lost or misplaced. However, we want to make sure you have a solution that meets your needs. Our friends at Going Postal and the local post office both offer affordable mailing box rentals that could work perfectly for you. They can provide a mailing address you can use for all your shipping and postal needs.
- We invite you to share your business card with us to display on our community bulletin board.
- If you have any other business-related promotions, awards, or news that you would like us to post, please feel free to provide that information as well.
SAFETY:
- If you ever encounter a fire, medical emergency, burglary, or any other threat to your security or wellbeing, we urge you to call 911 immediately. Fire extinguishers are located at all exit doors should you need them.
- For any other issues or assistance, you may require, such as problems with locking your door, please call us.
- The premises are equipped with security cameras and monitored by business personnel on a 24/7 basis for the purpose of safeguarding the well-being of members, tenants, and property.
